Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Astrionix Studio and any associated services (collectively, the "Service") provided by Astrionix LLC ("Astrionix," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that:

You are at least 18 years of age;
You have the legal capacity to enter into a binding contract;
Your use of the Service does not violate any applicable law or regulation;
You have not been previously suspended or removed from the Service.

3. Account Registration & Security

To use the Service, you must register an account with a valid email address and a password of at least ten (10) characters. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at security@astrionix.io of any unauthorized use.

4. Description of Service

Astrionix Studio is a software-as-a-service platform offering AI-assisted social media content creation, scheduling, analytics, and (where available) connected ad-campaign tooling for music artists and creative professionals. Available features depend on your subscription tier and connected third-party integrations.

5. Subscription Plans, Trial & Billing

5.1 Free Trial

New accounts receive a fourteen (14) day free trial of the selected tier (Basic or Pro). A valid payment method is required to begin the trial. No charge is made during the trial period. Your card will be charged automatically at the end of the trial period unless you cancel before it ends.

5.2 Billing

Subscriptions renew automatically on a monthly or annual basis as selected at signup. All payments are processed by Stripe, Inc. ("Stripe"). By providing payment information, you authorize us (through Stripe) to charge the applicable fees to your payment method.

5.3 Price Changes

We may modify subscription prices with at least thirty (30) days' notice to active subscribers. Price changes apply only to renewal periods after the notice period.

5.4 Refunds

You may request a refund within thirty (30) days of any charge by emailing billing@astrionix.io. First-time refund requests are honored without question; subsequent refund requests are reviewed on a case-by-case basis. No refunds are issued for partial billing periods after cancellation.

5.5 Cancellation

You may cancel your subscription at any time via the billing portal accessible from your account page. Cancellation takes effect at the end of the current paid period; you retain access until that date.

6. Acceptable Use

You agree not to use the Service to:

Violate any applicable law, regulation, or third-party right;
Generate or distribute content that is defamatory, infringing, fraudulent, harassing, hateful, sexually explicit involving minors, or otherwise unlawful;
Attempt to reverse engineer, decompile, or circumvent any security or licensing mechanism;
Interfere with or disrupt the Service or its servers;
Use automated tools (bots, scrapers, view-bots, fake-engagement services) to generate inauthentic engagement on connected platforms;
Misrepresent your identity or impersonate another person or entity;
Use the Service to compete with us, or to build a substantially similar product;
Violate the terms of service of any connected third-party platform (Meta, TikTok, YouTube, X, Facebook, etc.).

7. Content Ownership & License

7.1 Your Content

You retain all rights to the content you upload, create, or generate using the Service ("Your Content"). You grant Astrionix a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely as necessary to provide the Service to you. We do not claim ownership of Your Content.

7.2 AI-Generated Output

Captions, suggestions, and other AI-generated outputs are produced by third-party large language models (currently Anthropic's Claude) and are provided "as is." You are solely responsible for reviewing AI output before publishing and for ensuring it complies with applicable laws and the policies of platforms where it is posted. AI output may contain errors, inaccuracies, or content that is unsuitable for your use case.

7.3 Our Content

The Service, including its design, code, branding, and documentation, is owned by Astrionix LLC and protected by intellectual property laws. You may not copy, modify, or create derivative works of any part of the Service except as expressly permitted.

8. Third-Party Services

The Service integrates with third-party platforms including Anthropic (AI processing), Stripe (payments), Resend (email delivery), Cloudflare (CDN and security), and social platforms you choose to connect. Your use of these third parties is governed by their own terms and privacy policies. We are not responsible for the acts or omissions of third parties.

9. Suspension & Termination

We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, created legal or security risk for us, or engaged in fraudulent behavior. You may close your account at any time. Upon termination, your right to use the Service ceases immediately, but provisions that by their nature should survive termination (including ownership, disclaimers, indemnities, and limits of liability) will survive.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. WE DO NOT WARRANT THAT AI-GENERATED OUTPUT IS ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSES.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ASTRIONIX LLC, ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US$100), WHICHEVER IS GREATER.

12. Indemnification

You agree to defend, indemnify, and hold harmless Astrionix LLC from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, Your Content, your violation of these Terms, or your violation of any third-party right.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute arising out of these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts. If you reside in the European Union, United Kingdom, or another jurisdiction with mandatory consumer-protection law, nothing in this section limits your statutory rights.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email and/or by posting a notice in the Service at least thirty (30) days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
